CAC CALLS FOR FASTER COURT RULINGS ON INCORPORATION CERTIFICATE CASES

The Corporate Affairs Commission has called for faster judicial decisions in cases involving certificates of incorporation and other matters connected with company registration. The commission said prolonged court proceedings in such cases could create uncertainty for businesses and affect the efficient administration of Nigeria’s corporate regulatory system.

The appeal was made by the Registrar-General and Chief Executive Officer of the CAC, Bolaji Lawal, during discussions on improving the ease of doing business and strengthening the legal framework governing corporate affairs in Nigeria. He stressed the importance of timely resolution of disputes involving corporate registration documents, particularly where the validity or status of a certificate of incorporation is being challenged.

According to the commission, a certificate of incorporation is an important legal document that establishes the existence of a registered company and gives it corporate status under Nigerian law. Disputes surrounding such certificates can therefore have implications for the affected companies, their shareholders, creditors, investors and other stakeholders. The CAC said delays in resolving these matters could prolong uncertainty and interfere with business operations.

The commission also emphasised the need for closer cooperation between regulatory institutions, the judiciary and other stakeholders involved in corporate governance. It said an efficient dispute-resolution process would help provide greater certainty for businesses and strengthen confidence in Nigeria’s corporate environment. The CAC has continued to pursue reforms aimed at improving company registration, regulatory compliance and the delivery of services to businesses.

The call for speedy judgments comes as the commission continues efforts to modernise Nigeria’s corporate regulatory framework and make business processes more efficient. Faster determination of incorporation-related disputes, the CAC said, would help companies obtain clarity on their legal status and allow commercial activities to proceed without prolonged uncertainty arising from unresolved court cases.
